1. 签约人
甲方委托乙方为销售代理人,推销下列商品。
2. 商品名称及数量或金额
双方约定,乙方在协议有效期内,销售不少于1万吨商品。
3. 订单的确认
本协议所规定商品的数量、价格及装运条件等,应在每笔交易中确认,其细目应在双方签订的销售协议书中作出规定。
4. 佣金
在本合同期满时,若乙方完成了规定的数额,甲方应按装运货物所收到的发票累计总金额付给乙方10%的佣金。
5. 付款
订单确认之后,乙方须按照有关确认书所规定的时间开立以甲方为受益人的保兑的、不可撤销的即期信用证。乙方开出信用证后,应立即通知甲方,以便甲方准备交货。
6. 合同有效期
本协议经双方签字后生效,有效期为1年,自2013年6月12日至2014年6月12日。若一方希望延长本合同,则须在本协议期满前1个月书面通知另一方,经双方协商决定。若协议一方未履行协议条款,另一方有权终止协议。
7. 仲裁
凡有关执行合同所发生的一切争议应通过友好协商解决,如协商不能解决,则将分歧提交中国国际贸易促进委员会按有关仲裁程序进行仲裁,仲裁将是终局的,双方均受其约束,仲裁费用由败诉方承担。
本协议于2013年6月9日在北京签订,正本两份,甲乙双方各执

1. General Provisions
In accordance with the Law of the People"s Republic of China on Joint Ventures Using Chinese and Foreign Investment and other relevant Chinese laws and regulations, the SD Company of China (hereinafter referred to as “Party A”) and the WF Company of America (hereinafter referred to as “Party B”), in accordance with the principle of equality and mutual benefit and through friendly consultations, agree to jointly invest to set up a joint venture enterprise in Hangzhou City, Zhejiang Province of the People’s Republic of China.
2. Establishment of the Joint Venture Company
(1) In accordance with the Joint Venture Law and other relevant Chinese laws and regulations, both parties of the joint venture agree to set up a joint venture limited liability company (hereinafter referred to as the joint venture company).
(2) The name of the joint venture company is SD-WF Limited Liability Company.
(3) The organization form of the joint venture company is a limited liability company. Each party to the joint venture company is liable to the joint venture company within the limit of the capital subscribed by it. The profits, risks and losses of the joint venture company shall be shared by the parties in proportion to their contributions of the registered capital.

The products of joint venture company will be sold both on the Chinese and the overseas market, the export portion accounts for 30%, 70% for the domestic market.

6. Duration of the Joint Venture
The duration of the joint venture company is 6 years. The establishment date of the joint venture company shall start from the date on which the business license of the joint venture company is issued. An application for the extension of the duration, proposed by one party and unanimously approved by the board of directors, shall be submitted to the Ministry of Foreign Trade and Economic Cooperation (or the examination and approval authority entrusted by it) one months prior to the expiry date of the joint venture.
7. Insurance
Insurance policies of the joint venture company on various kinds of risks shall be underwritten with the China Life Insurance Company. Types, value and duration of insurance shall be decided by the board of directors in accordance with the provisions of the Insurance Company.
8. Force Majeure
Either party shall not be held responsible for failure or delay to perform all or any party of this contract due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. But the party affected by the event of Force Majeure shall provide to the other party confirmation of the existence of the circumstances constituting Force Majeure. Such evidence may consist of a statement or certificate of an appropriate governmental department or agency where available, or a statement describing in detail the facts claimed to constitute Force Majeure.
9. Language
The contract shall be written in Chinese and in English. Both language versions are equally authentic. In the event of any discrepancy between the two aforementioned versions, the Chinese version shall prevail.
10. Effective of the Contract
The contract is signed in Hangzhou, China by the authorized representatives of both parties on April 16, 2013.

1. 总则
中国SD公司公司(以下简称“甲方”)和美国WF公司(以下简称“乙方”),根据《中华人民共和国中外合资经营企业法》和中国的其它有关法律法规,本着平等互利的原则,通过友好协商,同意在中华人民共和国共同投资举办合资经营企业,特订立本合同。
2. 合资公司的成立
(1)按照中国的合资企业法和其它有关法律和法规,合同双方同意在中国境内浙江省杭州市建立合资公司。
(2)合资公司的中文名称为SD-WF有限责任公司
(3)合资公司的组织形式为有限责任公司,合资公司的责任以其全部资产为限,双方的责任以各自对注册资本的出资为限。合资公司的利润按双方对注册资本出资的比例由双方分享。

合资公司的产品,在中国境内外市场上销售,外销部分占30%,内销部分占70%。

合资公司的期限为6年。合资公司的成立日期为合资公司营业执照签发之日。经一方提议,董事会会议一致通过,可以在合资期满1个月前向原审批机构申请延长合资期限。
7. 保险
合资公司的各项保险均在********保险公司投保,投保险别、保险价值、保期等按照该保险公司的规定由合资公司董事会会议讨论决定。
8. 不可抗力
由于水灾、火灾、地震、干旱、战争或合同一方无法预见、控制、避免和克服的其他时间导致不能或暂时不能全部或部分履行本合同,该方不负责任。但是,受不可抗力事件影响的一方应该向另一方提供构成不可抗力现状的证明。此类证明可以由适当的政府部门或机构的声明或证明书,或详细描述构成不可抗力事实的陈述组成。
9. 合同文字
本合同用中文和英文写成,两种文字具有同等效力。上述两种文本如有不符,以中文本为准。
10. 合同生效
本合同于2013年4月6日由双方指定的授权代表在中国杭州签署。
